15.13 Discharge of liquidators

15.13 DISCHARGE OF LIQUIDATORS

The discharge of liquidators refers to the process by which a liquidator’s role and responsibilities come to an end. The discharge can occur when the liquidation process is completed and all necessary tasks and duties have been fulfilled.

  1. Completion of liquidation process: The discharge of a liquidator typically occurs when the liquidation process is complete. This involves the realization of the company’s assets, distribution of funds to creditors, settlement of outstanding claims, and resolution of any remaining matters related to the liquidation.

2. Final accounts and reports: Before the discharge, the liquidator prepares and submits final accounts and reports to the relevant stakeholders, including creditors, shareholders, regulatory

authorities, and the court. These documents provide an overview of the liquidation process, details of asset realizations and distributions, and any other relevant information.

  1. Consent of creditors and stakeholders: In some cases, the discharge of a liquidator may require the consent or approval of the company’s creditors and/or shareholders. This is particularly applicable in voluntary liquidations, where the creditors’ or shareholders’ approval may be sought before the liquidator is discharged.
  2. Court approval: In certain jurisdictions or circumstances, the discharge of a liquidator may require court approval. The court may review the liquidator’s final accounts, reports, and any outstanding issues before granting the discharge.
  3. Legal obligations and formalities: The liquidator must ensure that all legal obligations and formalities are fulfilled before seeking discharge. This may include the filing of necessary documents, settling outstanding tax and regulatory obligations, and complying with any reporting requirements.
  4. Finalizing the liquidation: Once the liquidator has completed all necessary tasks, received necessary approvals, and fulfilled all legal obligations, they can seek their discharge. This signifies the end of their role and responsibilities in the liquidation process.
