Procedure for company registration in Kenya

  1. 1. Name Search and reservation: Conduct a name search online or at the registered office. Thereafter application for reservation of a name are made by filling out Form CR14 and be accompanied with the prescribed fee.

The proposed name must be reserved for 30 days pending registration of the company.

  1. The next step is to prepare the memorandum and articles of association. This will be accompanied by the following forms:
  • Form CR1 will be for application for registration of the limited company.
  • Form CR2 can be filled where a company has not prepared a memorandum and would like to use the model memorandum for a company with a share capital.
  • Form CR3 for a company that is limited by guarantee.
  • Form CR 4 filled out for unlimited company
  • Form CR8 will be filled as a notice of residential address of the directors.
  1. A statement of nominal capital will then be prepared.
  • The Statement of Nominal Capital and the CR1 will be revenue stamped. The stamp duty fee is determined by the value of the nominal capital of the company.
  1. The promoter must lodge an application to the registrar for registration of the company. The application must be accompanied by the Memorandum of Association and Articles of Association together with the following documents:
  • Statement of the nominal capital
  • Particulars of directors
  • Copies of ID card and KRA PIN and a recent passport photo of directors and proposed secretary.
  • Notice of location of registered office.
