16.4 Registration of charges

16.4 REGISTRATION OF CHARGES

Registration of charges refers to the process of registering the details of a company’s charges or security interests with the relevant government authority or registrar. This process is typically required to create and establish the priority of charges over the company’s assets.

Creation of charges A charge is a form of security interest granted by a company to a creditor to secure a debt or obligation. It can be in the form of a mortgage, debenture, pledge, or other types of security arrangements.

Filing timeframe Companies are usually required to register charges within a specified timeframe after their creation to ensure their validity and priority.

Registrar or government authority Companies are required to file the necessary documents and information related to the charge with the designated registrar or government authority. The registrar maintains a register of charges, which is a public record accessible to interested parties.

Required documentation The company must prepare and submit the appropriate documents for registration, which typically include a charge registration form and supporting documents describing the nature of the charge, details of the parties involved, and the secured obligations.

Consequences of non-registration Failure to register charges within the prescribed timeframe may result in the charge being deemed void or unenforceable against certain parties, such as the company’s liquidator, creditors, or subsequent charge holders.

Amendment and discharge of charges If there are any changes or modifications to the registered charge, such as its terms or the amount secured, the company must file the appropriate amendments or updates with the registrar.
