14.3 POST – MERGER REORGANISATION OF A COMPANY’S SHARE CAPITAL

Post-merger reorganization of a company’s share capital refers to the restructuring of the shareholding structure and capitalization of a company following a merger or acquisition. It involves making changes to the company’s shares, share classes, ownership percentages, and other related aspects to align with the new ownership structure and capital requirements of the merged entity.

Share capital consolidation

In a post-merger reorganization, the share capital of the merged entity is often consolidated to streamline the ownership structure. This may involve canceling or exchanging existing shares of the merging companies for new shares in the merged entity based on the agreed-upon conversion ratios.

Conversion or exchange of shares

Shareholders of the merging companies may be given the option to convert or exchange their shares for shares of the merged entity.

Share class restructuring

Following a merger, the merged entity may restructure its share classes to align with the post-merger business objectives and ownership structure. This may involve merging or eliminating certain share classes, creating new share classes, or modifying the rights and privileges associated with existing share classes.

Adjustments in ownership percentages

The merger or acquisition may result in changes in the ownership percentages of the pre-merger shareholders. Shareholders of the merging companies may see adjustments in their ownership stakes based on the exchange or conversion ratios agreed upon during the merger.

Capital Reduction or Increase: Post-merger reorganization may involve a capital reduction or increase to adjust the share capital of the merged entity. This may include reducing the share capital to eliminate any excess or to absorb losses from the merger process. Conversely, the merged entity may increase its share capital to raise additional funds for future growth or capital requirements.

Regulatory and shareholder approval

Post-merger reorganization of share capital often requires regulatory approvals and, in some cases, the consent of the shareholders. The company must comply with applicable laws, regulations, and stock exchange requirements to ensure the legality and transparency of the reorganization process.

Communication and disclosure: The merged entity is responsible for communicating the post-merger share capital reorganization to its shareholders and other stakeholders. This typically involves issuing notices, holding shareholder meetings, and providing relevant disclosure materials that outline the details of the reorganization and its implications.
