14.2 MERGERS
Mergers refer to the combination of two or more companies into a single entity, often with the goal of achieving synergies, expanding market presence, or enhancing competitiveness.
Types of mergers
- Horizontal merger: In a horizontal merger, companies operating in the same industry and at the same level of the value chain merge to gain market share, eliminate competition, or achieve economies of scale.
- Vertical merger: A vertical merger occurs when companies operating at different levels of the value chain, such as suppliers and distributors or manufacturers and retailers, merge to streamline operations, improve efficiency, or control costs.
- Conglomerate merger: Conglomerate mergers involve the combination of companies operating in unrelated industries. These mergers are driven by diversification strategies, expanding the product portfolio, or entering new markets.
- Reverse merger: A reverse merger is a transaction where a private company merges with an existing public company, enabling the private company to become publicly traded without undergoing an initial public offering (IPO).
